Web Design Service Contract

Effective Date: March 25th, 2025

This Web Design Service Contract (“Contract”) is entered into on this date ______________, by and between Auxilia Inc., d.b.a. Scalable Websites (“Company”), and _____________________ (“Client”).

Welcome to Scalable Websites (“Company”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, products, and services, including the AI-Enhanced Smart Website packages (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Service Overview

Scalable Websites offers AI-Enhanced Smart Website packages tailored to meet the digital needs of businesses through fully managed design, optimization, hosting, and marketing tools. Our services are delivered under a subscription-based model with setup and monthly fees based on the selected package tier.

Starter – $1,000 Setup + $97/month

Deluxe – $2,000 Setup + $197/month

  • Everything in Starter, plus:
  • 4–6 Page Website
  • Advanced SMS & Email Automations
  • Google Review Automations
  • Payment Processing
  • Calendar Booking System
  • Unlimited Blog Posting

Premium – $3,000 Setup + $397/month

  • Everything in Deluxe, plus:
  • 10–12 Page Website
  • AI Chatbot for Booking
  • Voice AI Assistant for Booking
  • Automated Review Posting
  • Local SEO Citation Boost

3. Shopify Web Design

Shopify websites fall under a separate pricing model from our standard AI-Enhanced Smart Website packages. While we apply similar design, SEO, and automation strategies, Shopify projects are custom-quoted based on the complexity of the e-commerce store, number of products, and desired features. Ongoing Shopify support and maintenance can be included under a retainer plan.

4. Minimum Service Term

By subscribing to any AI-Enhanced Smart Website package, you agree to a minimum service term of twenty-four (24) months from the date of activation. Early termination does not release you from the remaining monthly obligations.

5. Ownership & Hosting

All websites are built using Scalable Websites’ proprietary software and platform. As such, websites cannot be moved, exported, or hosted externally outside of our system. This ensures performance, security, and the seamless integration of our features. Clients do not receive source files or administrative access.

6. Website Delivery Timeline

Website timelines vary depending on the responsiveness of the client and submission of necessary materials. Once all content, branding, and supporting materials are received, delivery typically takes 4–6 weeks.

7. Content & Design Process

Clients may provide their own website content or use our professional content writing service at $150 per page. To help capture your brand and style, clients are encouraged to share websites they like, preferred colors, fonts, and other branding elements. We provide a content outline to help organize your message.

8. Photography

We recommend custom photography to reflect your brand authentically. However, we can also source royalty-free stock images as needed.

9. Monthly Website Maintenance

Your monthly subscription includes:

  • Unlimited updates to existing content (e.g., swapping images, rearranging layouts, editing text)
  • Ongoing technical support
  • Performance monitoring and hosting

Note: Creation of entirely new pages is not included and will incur a separate per diem fee. Contact us for pricing.

10. Search Engine Optimization (SEO)

Each website is built with SEO best practices in mind, including:

  • Keyword-rich content
  • Optimized URLs
  • Meta titles and descriptions
  • On-page SEO for all packages
  • Local SEO citations (Premium plan only)

11. Payment Terms

All services require full setup payment before project kickoff. Monthly subscription fees begin upon launch of the website and are charged automatically via your preferred billing method. If payment fails or is not received within 7 days of the due date, your site may be suspended until payment is resolved. Late fees or reinstatement fees may apply.

12. Client Responsibilities

To ensure smooth delivery and collaboration, clients agree to:

  • Provide all required materials (logos, content, images) in a timely manner
  • Communicate feedback during design and development
  • Make payments as outlined in the agreement
  • Use the website and platform in compliance with applicable laws and regulations

Delays in client communication or materials may extend the project timeline.

13. Non-Solicitation of Employees

Client agrees that, during the term of this agreement and for a period of twenty-four (24) months after the end of employment of any employee, contractor, or agent of Scalable Websites, Client will not hire, solicit, or engage that individual in any capacity without prior written consent. Violation of this clause will result in liquidated damages of the greater of $25,000 or 100% of the individual’s last annualized compensation.

14. Refund Policy

We offer a 30-day money-back guarantee from the activation date of your subscription. After 30 days, all payments are non-refundable.

15. Limitation of Liability

To the maximum extent permitted by law, Scalable Websites shall not be liable for any indirect, incidental, consequential, or punitive damages. Our total liability for any claim arising out of or relating to the Services shall not exceed the total amount paid by the client in the twelve (12) months prior to the claim.

16. Modifications to Terms

Scalable Websites reserves the right to update or modify these Terms at any time. Changes will be posted to our website and effective immediately upon posting. Continued use of our Services after changes are made indicates your acceptance of those changes.

Yes, we can start developing your website’s design concept while you finalize your content. We provide a content outline to help you effectively showcase your services or products.

Does Scalable Websites utilize custom or stock photography in web design?
We recommend using custom photography to authentically represent your brand. However, if needed, we can source high-quality, royalty-free, stock images to ensure your website looks professional and appealing.

Does Scalable Websites offer professional content writing services?
Yes. At Scalable Websites, we offer specialized content writing services, priced at $150 per page, designed to engage and connect with your target audience. Alternatively, you’re welcome to create your own content.

Is continuous technical web support part of Scalable Websites’ web design services?
Ongoing technical web support is included in our monthly plan, making sure that your website runs smoothly and efficiently at all times.
