Web Design Service Contract

This Web Design Service Contract (“Contract”) is entered into on this date ______________, by and between Auxilia Inc., d.b.a. Scalable Websites (“Company”), and _____________________ (“Client”).

1. Scope of Services

The Company agrees to provide web design services as per the selected package outlined below:

WordPress Web Design Packages

Starter Package ($195/month for 30 months):

  • Fully Managed Website
  • 5-Page Website
  • On-Page SEO
  • Automated Form Emails
  • Google Analytics Integration
  • Daily Offsite Backups
  • Unlimited Update Requests
  • 30-Day Money-Back Guarantee

Deluxe Package ($295/month for 30 months):

  • Includes all Starter features
  • 10-Page Website
  • Pop-Up Lead Capture
  • CRM Automation
  • Unlimited Blog Posting Capability

Premium Package ($350/month for 30 months):

  • Includes all Deluxe features
  • 20-Page Website
  • Automated Review Posting
  • Premium Support
  • First-in-Line Priority Service

Shopify Web Design Package

One-Time Fee of $5,000:

  • Home Page, About Page, Contact Page, Privacy Page, Return Policy Page, Shipping Page, FAQs Page, Collection Page Template, Product Page Template, Cart, Checkout, and 2 Miscellaneous Pages
  • Shopify Setup and Configuration Walkthrough
  • SEO Enhancements and Strategy Walkthrough

2. 30-Day Money-Back Guarantee

The Company offers a 30-day money-back guarantee for WordPress packages. If the Client is not satisfied within the first 30 days, they may request a refund, and the Company will issue a full refund of the amount paid to date.

3. Client Responsibilities

  • Content: The Client is solely responsible for providing all written content for the website. If professional content writing services are required, the Company offers this at an additional fee of $150 per page.
  • Photography: The Client is solely responsible for providing all custom photography. If no custom photography is provided, the Company will use royalty-free stock images to complete the design.

4. Payment Terms

  • Payments are due on the same day each month based on the date of the initial contract signing.
  • Payments may be made via credit card or ACH transfer:
    • ACH Payments: No surcharge applies.
    • Credit Card Payments: A surcharge will be applied to cover processing fees.

5. Frequently Asked Questions (FAQs)

The following terms are incorporated into this Contract as binding conditions:

  • Timeline: Once all required materials (content, branding elements) are received, the Company will deliver the website within 4-6 weeks.
  • Vision Alignment: The Client may share examples of websites they admire, along with specific fonts, colors, and design elements. The Company will revise the design until it meets the Client’s vision.
  • SEO: All websites are designed with SEO in mind, including keyword optimization, URL structuring, meta descriptions, and other on-page SEO strategies.
  • Content Development During Design: Design concepts can begin before finalizing content. The Company will provide a content outline to assist the Client in organizing services or products.
  • Post-Contract Options: Upon completion of the contract, the Client retains full ownership of the website and may choose to:
    • Renew the contract for a fresh design.
    • Switch to a monthly maintenance plan.
    • Take over hosting and management.
  • Cancellation Policy: If the Client cancels the contract, the remaining balance becomes due. Upon receipt, the Company will provide all necessary files and databases to transfer the website.
  • Hosting: While the Company offers premium hosting services, the Client may choose to host the website elsewhere upon completing the contract or purchasing the design.

  • Scope of Monthly Website Maintenance Services: Our monthly website maintenance plan includes unlimited updates to existing content, such as:

    • Changing images

    • Rearranging page layouts

    • Modifying, adding, or removing text

    • Please note that the creation of entirely new pages is not included in the monthly maintenance service. Requests for new page additions will be subject to a separate per diem fee, which will be communicated upon request.

6. Ownership and Intellectual Property

Upon completion of the contract and full payment, the Client will retain full ownership of the website, including all associated design and content elements.

7. Non-Solicitation of Contractors and Employees

The Client agrees not to contact, hire, or engage in any work relationship with any contractors or employees of the Company during the term of this Contract and for a period of 24 months following the termination or completion of this Contract, as specified in the Company’s Terms and Conditions found at https://scalablewebsites.com/terms-conditions/. Any violation of this clause will result in liquidated damages equal to $25,000.

8. Incorporation of Terms and Conditions

This Contract is subject to and incorporates by reference the Terms and Conditions outlined on the Company’s website at https://scalablewebsites.com/terms-conditions/. The Client agrees to review and comply with all stipulations stated therein. In case of any conflicts between this Contract and the Terms and Conditions, the Terms and Conditions shall prevail.

9. Limitation of Liability

The Company is not responsible for:

  • Delays caused by the Client’s failure to provide required materials.
  • Issues arising from hosting or third-party services not managed by the Company.
  • SEO rankings or specific performance metrics unless specified in a separate agreement.

10. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of Texas.

11. Entire Agreement

This Contract constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements or understandings. It is connected to the Terms and Conditions of the Company to ensure consistency and legal compliance.
