1. Acceptance of Terms
By subscribing to or using any service offered by Scalable Websites, you agree to be bound by these Terms of Service (“Agreement”). This Agreement is entered into by and between Douloi Inc. d.b.a. Scalable Websites (“Agency,” “we,” “us,” or “Scalable Websites”) and the subscribing business (“Client” or “you”). If you do not agree to these terms, you may not access or use our services. You must be at least 18 years of age and have the authority to enter into legally binding agreements on behalf of the Client.
2. Overview
Scalable Websites provides professionally built, professionally managed, AI-powered websites for home service contractors, delivered as a monthly subscription. Our websites are designed to convert visitor traffic into calls and estimate requests, with hosting, security, and ongoing support included. Clients may add optional upgrades described in Section 3.2 below.
3. Services & Plans
3.1 Website Subscription Plans
Scalable Websites offers three website subscription plans. Current plan names, pricing, and included features are published at scalablewebsites.com and confirmed in Client’s order form at signup; if this Agreement and Client’s order form conflict on plan-specific terms, the order form controls. As of the date of this Agreement, the plans are:

Every plan includes: unlimited reasonable update requests, a dedicated project manager, custom lead forms, website hosting and security, daily offsite backups, uptime monitoring, and the 30-Day Money-Back Guarantee described in Section 5. “Unlimited update requests” means reasonable ongoing content and layout changes to Client’s existing site; Scalable Websites reserves the right to decline or separately quote requests that constitute a substantial redesign, a new website build, or a volume of requests inconsistent with normal ongoing maintenance. Features noted with SMS or AI functionality may carry data rates passed through to Client and, where applicable, to Client’s own customers (see Section 7).
3.2 Add-On Upgrades
Client may add the following upgrades to any plan. One-time upgrades are billed at signup or when the upgrade is requested; recurring upgrades are billed monthly alongside Client’s plan.

*SMS and AI data rates are passed through to the subscriber.
- Service Industry CRM — a CRM built for service businesses, including AI functionality, setup, and support.
- SMS Notifications — lead notifications sent by SMS in addition to email.
- Extra Pages — additional pages added to Client’s site beyond the plan’s included page count.
- Content Writing — custom written content for Client’s site.
- Fully Custom Design — a fully custom, one-of-a-kind design in place of the standard template.
- Display Reviews — automatic display of Client’s current Google reviews on Client’s site.
4. Term, Billing & Payment
- Each plan carries an initial term of 24 months from the date of signup (“Initial Term”). After the Initial Term, the subscription automatically renews on a month-to-month basis unless either party provides 30 days’ written notice of non-renewal.
- Subscriptions are billed monthly, on either the 1st or the 10th of each month, depending on Client’s signup date.
- Payments are auto-drafted via ACH or credit card. Credit card payments incur applicable processing fees.
- One-time upgrade fees (Extra Pages, Content Writing, Fully Custom Design) are billed at the time the upgrade is purchased.
- Non-payment may result in service interruption or termination.
- If Client cancels before the end of the Initial Term for any reason other than the 30-Day Money-Back Guarantee in Section 5, Client remains responsible for the remaining balance of the Initial Term, due immediately upon cancellation.
- All outstanding fees are due in full upon cancellation or termination.
5. Refund Policy
Each plan (Starter, Growth, and AI Enhanced) carries a 30-Day Money-Back Guarantee from the date of initial signup. This guarantee applies only to the initial signup period and does not apply to subsequent months of an ongoing subscription.
One-time upgrade fees (Extra Pages, Content Writing, Fully Custom Design) are non-refundable once work has commenced. Recurring upgrades (Service Industry CRM, SMS Notifications, Display Reviews) follow the same 30-Day Money-Back Guarantee as the underlying plan when added at signup, and are otherwise non-refundable for months already billed.
6. Ownership of the Website & Content
6.1 Website & Template. The website built and managed under Client’s subscription remains the property of Scalable Websites at all times. Client is granted a license to use the website for as long as Client’s subscription remains active and in good standing. Upon cancellation or termination for any reason, Client’s access to the website ends, the website may be taken offline, and no ownership, code, design files, or template transfer to Client.
6.2 Client Content. Written on-page content created specifically for Client — including content purchased under the Content Writing upgrade — is Client’s property and will be provided to Client upon request within a reasonable time following cancellation. This does not include the website’s design, code, or underlying template, which remain Scalable Websites’ property under Section 6.1.
6.3 Domain. Client retains ownership of Client’s domain name at all times.
7. SMS, AI Chat & Communications Compliance
Certain plans and upgrades (including SMS Notifications, AI SMS and chat functionality, and missed-call text-back) enable Client’s website or CRM to send SMS text messages and/or automated chat responses to Client’s own customers and leads.
- Client is solely responsible for obtaining any consent required by law — including the Telephone Consumer Protection Act and applicable state law — before Client’s customers or leads are contacted by SMS or automated chat through Scalable Websites’ platform.
- Client is responsible for honoring opt-out requests from its customers and leads in accordance with applicable law.
- Scalable Websites provides the technology; Client is responsible for how it is used, including the content of messages sent to Client’s customers and leads.
- SMS and AI features may incur data rates or usage charges, which are passed through to Client and, where applicable, to Client’s recipients.
- Client agrees to indemnify Scalable Websites for claims arising from Client’s use of these features in violation of applicable law (see Section 14, Indemnification).
8. Non-Solicitation of Team Members
This section applies to all team members of Scalable Websites, whether employed or contracted, located in the United States or internationally.
Client agrees not to directly or indirectly hire, solicit, engage, contract with, or work in any capacity with any current or former employee, contractor, subcontractor, or representative of Scalable Websites for a period of twenty-four (24) months following either: (a) the termination of that individual’s relationship with Scalable Websites, or (b) the termination of Client’s relationship with Scalable Websites — whichever is later.
This restriction applies to any working relationship, including direct employment, independent contracting, freelance engagement, referral to a third party, or any other arrangement through which Client would receive services from or collaborate with a Scalable Websites team member outside of this engagement.
Violation of this clause is subject to a fee equal to the greater of (a) $25,000 per individual, or (b) 100% of that individual’s annualized total compensation at the time of violation, due immediately upon violation.
This clause survives termination of this Agreement.
9. Termination
- Client may cancel at any time; cancellation is effective at the end of the current billing cycle, subject to the early-termination terms in Section 4 if cancellation occurs before the end of the Initial Term.
- Scalable Websites may terminate services with 30 days’ written notice, or immediately for non-payment or violation of this Agreement.
- Upon termination, Client’s website is taken offline per Section 6.1, and all outstanding fees are due in full.
- Client-owned content (Section 6.2) and Client’s domain (Section 6.3) will be made available to Client upon request following termination.
10. Communication
All clients receive a dedicated project manager. Primary communication is via email. Scalable Websites will proactively share updates on website performance and any pending requests.
11. Confidentiality
Both parties agree to maintain the confidentiality of proprietary strategies, pricing, and any other non-public information exchanged under this Agreement. This obligation survives termination.
12. Disclaimers
All services are provided “as is” and “as available.” Scalable Websites makes no guarantees of specific business outcomes, lead volume, or return on investment. While we apply proven design and technical best practices, results depend on factors outside our control, including market conditions and Client’s own responsiveness to leads.
13. Limitation of Liability
To the fullest extent permitted by law, Scalable Websites shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use our services. Our maximum liability for any claim is limited to the amount paid by Client in the 12 months immediately prior to the claim.
14. Indemnification
Client agrees to defend, indemnify, and hold harmless Scalable Websites, its officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from Client’s use of the services, violation of this Agreement, or any breach of Client’s representations or obligations under this Agreement, including under Section 7 (SMS, AI Chat & Communications Compliance).
15. Governing Law and Jurisdiction
This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal disputes shall be brought exclusively in the state or federal courts located in Montgomery County, Texas. Both parties consent to personal jurisdiction in those courts.
16. Modifications
Scalable Websites may update these Terms from time to time. Updates will be posted at scalablewebsites.com. Continued use of services after changes are posted constitutes Client’s agreement to the revised Terms. Material changes will be communicated via email to active clients.
